The short version (not a substitute for the full terms)
- You own your data. We use it to run Right Hand for you, and we don't sell it.
- You pick a plan, monthly or yearly. It renews on its own until you cancel, which you can do anytime from the Billing page.
Your clients and employees are your clients and employees. You are responsible for getting their permission before you record calls, send texts, track trucks, or clock their time. Section 6 spells out what that means.
Mike and the other AI features are helpful but can make mistakes. Check what they write and book.
- Card and bank payments are handled by Stripe under Stripe's own agreement with you.
- If something goes wrong, our total liability is limited to what you paid us in the last 12 months.
- Disputes go to individual arbitration, not class actions. You can opt out within 30 days.
- After you cancel, you have 30 days to export your data. Then we delete it.
1. Who these terms are between
These Terms of Service ("Terms") are a contract between Revive Flow LLC, a Florida limited liability company doing business as Right Hand ("Right Hand," "we," "us," "our"), and the business that signs up for Right Hand ("Subscriber," "you," "your").
The person who accepts these Terms for a business promises that they have authority to bind that business. If you don't have that authority, or you don't agree, do not use Right Hand.
These Terms include, by reference:
- the Data Processing Addendum ("DPA")
- the Acceptable Use Policy
- the Messaging and Calls Terms
- the AI and Mike page, which sets the fixed rules for Mike and other AI Features
- the Refunds and Cancellation page, which explains Section 4 in plain words
- the Copyright Policy (DMCA)
- the Privacy Policy, which explains how we handle personal information, and the Cookie Notice
- any order form, checkout page, or plan page that shows your plan and price ("Order")
If these documents conflict, the order of priority is:
- a signed Order, for price and plan only
- the DPA, for personal data
- these Terms
- the other policies
2. Definitions
- "Service" means Right Hand's web dashboard, iPhone app, Mike, APIs, integrations, and related support, as we offer them from time to time.
- "Mike" means the Service's AI receptionist and assistant features. These include answering and placing calls, recording and transcribing calls, texting, booking, and creating tasks.
- "AI Features" means Mike and any other part of the Service that uses machine learning or a large language model to produce text, voice, summaries, quotes, drafts, suggestions, or actions.
- "Your Data" means data you or your Users put into the Service, or that the Service collects for you. This includes data about your clients, leads, callers, employees, and subcontractors, plus recordings, transcripts, messages, photos, documents, location data, time records, and payment records.
- "Your Clients" means your customers, leads, callers, and anyone else you communicate with or serve using the Service.
- "Users" means the people you allow to use your account: owners, managers, office staff, and crew members.
- "Third-Party Services" means products not made by us that you connect to the Service. Examples include QuickBooks, Google, Meta, Jobber, Housecall Pro, Zapier, Make, GPS providers, and your own Stripe account.
- "Usage Data" means technical and usage information about how the Service runs and is used, such as performance, errors, feature use, and device type. Usage Data does not include the contents of Your Data.
3. Your account
3.1 Eligibility. The Service is for businesses. You must be at least 18 years old and able to form a binding contract. The Service is not for personal, family, or household use. It is not directed at children, and you won't let anyone under 18 be a User.
3.2 Sign-in. You can sign in with email and password, or with Google, Apple, or Intuit. When you use one of those providers, their terms and privacy policy also apply to that sign-in. If you choose "remember this device," you stay signed in on that device for up to 30 days. Do not use that option on a shared or public device.
3.3 Security of your account. You are responsible for:
- everything done under your account and your Users' logins
- keeping passwords private
- giving each User only the access they need
- removing Users who leave your company
Tell us right away at support@righthandcrm.com if you think someone got into your account without permission. You can use "sign out everywhere" on the Team page.
3.4 Your Users. You are responsible for your Users following these Terms. Crew members and other employees you invite accept the Privacy Notice and Acceptable Use Policy on first sign-in. You remain responsible for them.
3.5 Accurate information. Keep your company name, contact details, and billing details current. Carriers require us to register your business for texting. Information you give us for that must be true.
4. Plans, billing, renewal, and cancellation
The Refunds and Cancellation page summarizes this Section 4 in plain words.
4.1 Plans. Each plan has a flat price for your whole team, with no per-user fee. Plans have limits on team size, active clients, Mike minutes, and other usage, as shown on our pricing page or your Order. Add-ons and usage above your plan's included amounts are charged at the rates shown when you buy them. One example is Mike minutes over your plan's allowance.
4.2 Free trial. We may offer a free trial (currently 14 days on some plans). During a trial:
- the Service is provided as-is, with no service commitments
- some features, such as phone numbers, texting, or payments, may be limited until you subscribe
- we may end or change a trial at any time
If you gave a payment method at sign-up, your paid plan starts automatically when the trial ends, and we charge that payment method unless you cancel before the trial ends. We will remind you by email before the first charge. If you don't subscribe, we may delete trial data 30 days after the trial ends.
4.3 Billing. Fees are charged in advance:
- monthly plans each month
- yearly plans once a year
Charges go to the payment method on file, through our payment processor. Prices are in US dollars and do not include taxes. You pay any sales, use, or similar taxes, other than taxes on our income. You authorize us to charge your payment method for:
- fees and taxes
- add-ons
- usage above your plan
4.4 Automatic renewal. Your subscription renews automatically at the end of each monthly or yearly term for another term of the same length, at the then-current price for your plan, until you cancel. For yearly plans, we will email you a reminder at least 15 days (and no more than 45 days) before renewal. That reminder includes the price and how to cancel.
4.5 How to cancel. You can cancel anytime, online, from the Billing page in your dashboard. You never need to call us. You can also email support@righthandcrm.com from your account's owner email. Cancellation takes effect at the end of your current paid term. You keep access until then. We confirm every cancellation by email.
4.6 Refunds.
- Monthly plans: not refunded for partial months.
- Yearly plans:
- If you cancel within 30 days of your first yearly charge (or of a renewal charge), we refund the unused part of that year, less any discount you got for paying yearly compared with the monthly price.
- After 30 days, yearly fees are not refundable, and your plan runs until the end of the paid year.
- Upgrades: take effect right away, and you are charged a prorated difference.
- Downgrades: take effect at your next renewal.
- Usage charges and add-ons already used are not refundable.
- Our refund promise: if we end the Service for our own convenience under Section 15.3, or end your plan for a reason that isn't your fault, we refund any prepaid fees for the unused period.
- Required by law: we also give any refund the law requires.
4.7 Price changes. We may change prices. We will give you at least 30 days' notice by email and in the dashboard. A new price applies starting with your next renewal after the notice period. If you don't agree, you can cancel before it takes effect.
4.8 Late payment. If a charge fails, we will tell you and try again. If payment is still not made 14 days after our notice, we may suspend the Service (Section 14). We will not delete Your Data for non-payment without first giving you the export window in Section 15.4. You agree to raise any billing dispute with us within 60 days of the charge, before going to your card issuer.
4.9 Seasonal pause ("Winter mode"). If your plan offers a seasonal pause at reduced price, its terms (length, what stays on, what pauses) are shown when you turn it on. A pause does not end your subscription.
5. Your Data
5.1 You own Your Data. As between you and us, you own Your Data. We don't claim any ownership of it.
5.2 Our license to Your Data. You give us a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, and display Your Data only as needed to:
- provide, secure, support, and maintain the Service for you
- prevent fraud and abuse
- comply with law
- do anything else you instruct us to do through the Service
Our role for personal information in Your Data is described in the DPA. In short, we act as your processor and service provider.
5.3 Aggregated and de-identified data. We may create data that is aggregated and de-identified, so it does not identify you, your Users, or any person. We may use that data and Usage Data to run, improve, and build the Service, and for benchmarks. We will not try to re-identify it.
5.4 No selling, and no AI training on Your Data.
- We don't sell Your Data.
- We don't use Your Data to train general-purpose AI models that other customers use.
- We choose AI providers and settings whose contracts don't permit them to train their models on the data we send them (see Section 7.4).
5.5 Your responsibilities for Your Data. You are responsible for Your Data. That means:
- having the right to collect it and put it in the Service
- giving the notices and getting the consents the law requires (Section 6)
- making sure it is accurate
- answering requests from Your Clients and employees about their data
Do not put the following into free-text fields, notes, photos, or files, except where a feature is built for it:
- Social Security numbers
- full bank or card numbers
- medical or health records
- driver's license numbers
- passwords for other services
5.6 Backups are on you too. We back up the Service, but we are not a backup service for your business records. Keep your own copies of anything you must keep by law, such as tax records, payroll records, signed contracts, and injury reports. Use the export tools to do that.
6. Your responsibilities: consent, notice, and lawful use
Right Hand gives you tools to call, record, text, email, track, and pay. You decide how to use them, and you are the one legally responsible for using them lawfully. We are not your lawyer. Laws differ by state, and some laws change often. Get your own legal advice if you are unsure. This section is a promise you make to us. Breaking it is a material breach.
6.1 Recording and transcribing calls.
- Mike and the calling features can record and transcribe calls, and an AI listens to and speaks on them. Some states require every person on a call to agree before it is recorded. These include California, Florida, Illinois, Maryland, Massachusetts, Montana, Nevada, New Hampshire, Pennsylvania, and Washington, among others.
- You are responsible for giving every caller, and every person you call, any notice and getting any consent the law requires. That covers recording, transcription, and an AI taking part in the call.
- Mike plays a recording-and-AI disclosure at the start of calls by default (see the Messaging and Calls Terms). The AI part of the disclosure can't be turned off. Do not shorten the recording part unless your lawyer has told you in writing that the shorter wording is enough for your calls.
- You also give your own employees any notice the law requires for recording their calls.
6.2 Texting and calling Your Clients (TCPA, state laws, and carrier rules). When you use the Service to send texts or make calls, you are the sender, and you are responsible for following:
- the Telephone Consumer Protection Act (TCPA)
- state telemarketing and texting laws, such as the Florida Telephone Solicitation Act
- the Telemarketing Sales Rule
- CAN-SPAM
- carrier and A2P 10DLC rules
In particular, you must:
- get the right consent before texting anyone. That means express consent for service texts (reminders, "on our way," invoices) and prior express written consent for marketing texts (campaigns, promotions, win-back offers).
- keep proof of each consent: who, when, how, and what they agreed to. Give it to us within 5 business days if a carrier, Twilio, or a regulator asks.
- honor STOP and other opt-out requests. The Service stops texts automatically when someone replies STOP. Do not work around that, or re-add someone who opted out, unless they give new consent.
- not send marketing to numbers on the National Do Not Call Registry without the consent the law requires.
- send marketing only during the hours the law allows where the recipient is. For example, many state laws allow only 8 a.m. to 8 p.m. or 9 p.m. local time.
- identify your business in your texts.
- never buy, rent, or borrow phone lists.
You also must not use the Service for prohibited content (see the Acceptable Use Policy). Carriers can block your messages or your number. That is outside our control, and you may need to re-register.
6.3 Email. For emails you send through the Service, including through a Gmail account you connect, you must follow CAN-SPAM and similar laws. That means a truthful sender and subject line, your physical address in marketing email, and a working unsubscribe that you honor.
6.4 Employees: time clock, GPS, and location. The Service can record your employees' time, clock-in location, and the location of vehicles and phones during work.
- You are the employer, and you are responsible for following employee monitoring, privacy, and wage-and-hour laws.
- Some states, including New York, Connecticut, and Delaware, require written notice to employees before electronic monitoring, and some require acknowledgment.
- Some states limit tracking outside work hours or on personal devices.
- You must give your employees any required notice and get any required consent before turning on GPS, location, or vehicle tracking.
- Use location only for legitimate business purposes, such as dispatch, job-site time, safety, and payroll accuracy.
- Do not track people outside working hours where the law forbids it.
- You remain responsible for paying your employees correctly. Time records in the Service are tools, not legal payroll advice. Review timesheets before paying.
- Crew members see a notice about time and location data on first sign-in. That notice supports, but does not replace, your own notice as their employer.
6.5 Employee paperwork. You are responsible for the content and legal sufficiency of your own forms. These include handbooks, new-hire forms, injury reports, write-ups, and e-signed agreements. You are also responsible for keeping them as long as the law requires and for handling medical or injury information as the law requires. We provide e-signature and storage tools. We do not give employment or legal advice.
6.6 Your Clients' data. You will:
- collect and use Your Clients' information only as the law allows
- post your own privacy notice where required
- answer Your Clients' privacy requests
We will help as described in the DPA.
6.7 Integrations you connect. When you connect a Third-Party Service, you instruct us to exchange data with it. That service's own terms govern it. We aren't responsible for it, for how it uses data it receives, or for changes it makes that break an integration. You need the right to connect any account you connect. Disconnecting stops new syncing. It does not delete data already sent to the other service.
6.8 Indemnity for these duties. Section 12.2 makes you responsible for claims arising from your failure to meet this Section 6.
7. Mike and other AI Features
7.1 What AI Features do. AI Features can:
- answer and place calls and text your clients
- summarize, transcribe, and translate
- draft quotes, proposals, messages, and reports
- suggest prices and actions
- book work and create tasks in your account
You choose which AI Features to turn on and what they may do on their own. The AI and Mike page describes each AI Feature, the rules Mike always follows, and how AI uses Your Data. It is part of these Terms.
7.2 AI makes mistakes. AI output can be wrong, incomplete, out of date, or inappropriate, even when it sounds confident. For example:
- a transcript can mishear a word
- a quote draft can miss an item
- Mike can misunderstand a caller or book the wrong time
You are responsible for reviewing AI output before you rely on it or send it, and for actions AI Features take in your account under the settings you chose. AI output is not legal, tax, financial, safety, engineering, or professional advice. Prices, measurements, and production estimates are estimates. Check them before you quote a customer.
7.3 Who owns AI output. As between us, output generated from Your Data for you is part of Your Data. Similar outputs may be produced for other customers. Do not present AI output as reviewed by a licensed professional unless it was.
7.4 AI providers. AI Features send the needed parts of Your Data to third-party AI providers to produce output. These include Anthropic, OpenAI, and ElevenLabs (voice), as listed in our Subprocessors.
- We use business or API terms with those providers that do not permit them to train their models on the data we send.
- Providers may keep data briefly for abuse monitoring under their own policies.
- We don't control the providers' systems, and their models can change.
- You won't use AI Features in a way that breaks those providers' usage policies as we pass them on to you in our Acceptable Use Policy.
7.5 Honesty and voice. Mike uses a synthetic voice. Mike identifies itself as an AI assistant at the start of every call and in the first text of a conversation, and whenever asked. You can't switch that off. You won't use AI Features, or instruct Mike, to:
- claim to be a human, or deny being an AI
- pretend to be a specific real person
- make calls the law forbids AI or prerecorded voices to make without consent
7.5A Custom voices. If you create a custom voice for Mike from a real person's recordings, you promise that you have that person's signed, written consent to copy and use their voice this way, that the person is an adult, and that the consent was freely given (for an employee, not as a condition of the job). You will keep the consent and show it to us on request, and you will stop using the voice and tell us if consent is withdrawn. You may never copy the voice of anyone who hasn't given that consent. Your indemnity in Section 12.2 covers claims about voices you supply.
Under FCC rules, AI-generated voices count as "artificial" voices under the TCPA. Outbound AI calls to mobile numbers need prior express consent, and prior express written consent for marketing.
7.6 No high-risk use. Do not use AI Features to make, or to be a substantial factor in making, decisions that have a legal or similarly significant effect on a person, such as employment, pay, discipline, credit, financing, housing, insurance, education, health care, or legal rights. A person must make those decisions. The Service is not designed or offered as a "high-risk" AI system under laws such as the Colorado AI Act.
8. Payments you take from Your Clients
8.1 Stripe processes payments, not Right Hand. Card and bank (ACH) payments that your clients make through the Service are processed by Stripe, Inc. and its affiliates ("Stripe").
- If you connect your own Stripe account, your use of Stripe is governed by your own agreement with Stripe, the Stripe Services Agreement.
- If we offer payments through Stripe Connect, then payment processing for you is provided by Stripe and subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the "Stripe Terms"). By agreeing to these Terms or continuing to take payments through the Service, you agree to be bound by the Stripe Terms, as Stripe may change them from time to time.
As a condition of payments through the Service, you agree to give us accurate and complete information about you and your business. You authorize us to share it, and transaction information related to your use of Stripe, with Stripe.
8.2 We are not a bank or payment processor. We do not hold your funds. Stripe decides account approval, payout timing, reserves, holds, and account closures. Disputes about those go to Stripe.
8.3 Fees. Our plans pass card and bank processing through at Stripe's own price, without a Right Hand markup, unless your Order or the payment settings page says otherwise. If we later add a platform fee, we will give you 30 days' notice and you can turn payments off.
8.4 Your responsibilities. You are responsible for:
- your prices, refunds, receipts, and taxes
- your client relationships and the quality of your work
- chargebacks, disputes, fines, and negative balances on your account
- following card-network rules and payment laws, including ACH authorization rules
- any surcharge or convenience-fee rules in your state
Do not store full card numbers anywhere in the Service outside the payment fields.
8.5 Your clients' pages, signatures, and payment authorizations. Quote, invoice, portal, and payment pages show your clients our Terms for Your Clients, which explain that their agreement for your work is with you.
- Electronic signatures: those pages give your clients the consumer disclosures the federal E-SIGN Act requires before they approve or sign electronically. You will honor a client's request for a paper copy or to stop doing business electronically.
- Bank (ACH) payments: bank debits require the client's authorization, shown next to the Pay button, under Nacha rules. You are the originator of those debits. You will honor revocations, give any required notice before changing a recurring amount or date, and keep or be able to get proof of each authorization for at least 2 years after it ends. Stripe stores the payment mandate for payments made through it.
- Saved cards and autopay: charge only what the client agreed to when saving the card, and send a receipt for each charge.
- The contracts, quotes, warranties, refund policies, and surcharge notices you show your clients are yours. We don't review them.
9. Our responsibilities
9.1 Providing the Service. We will provide the Service substantially as described in our documentation for your plan. We will use commercially reasonable efforts to keep it available, apart from planned maintenance (which we try to schedule outside US business hours and announce ahead when we can) and events outside our reasonable control. We don't offer a guaranteed uptime percentage or service credits unless a signed Order says so. Our Support page describes our goals.
9.2 Security. We will keep reasonable administrative, technical, and physical safeguards for Your Data, as described in the DPA. That includes:
- encryption in transit
- encryption at rest through our hosting providers
- access controls, so only people who need Your Data can reach it
- tenant separation, so one company cannot see another's data
- logging
9.3 Breach notice. If we confirm unauthorized access to Your Data in our systems, we will tell you without undue delay (and where we can, within 72 hours of confirming it). We will tell you what we know and what we are doing. We will help you meet your own notice duties as described in the DPA.
9.4 Support. We provide support as described on our Support page for your plan.
9.5 Changes to the Service. We improve the Service often. We may add, change, or remove features. If we remove a material feature you pay for, without a comparable replacement, we will give you at least 30 days' notice. You may then cancel and get a prorated refund of prepaid fees for the unused period.
10. Beta features and feedback
10.1 Beta. Some features may be labeled beta, preview, early access, or "not yet live." Beta features:
- are optional and may be incomplete
- may change or end at any time
- are provided as-is, without any warranty or service commitment, and the liability cap applies to them
- may have their data reset
10.2 Feedback. If you send us ideas, suggestions, or feedback, we may use them freely, without paying you and without any obligation to you. Feedback doesn't include Your Data.
11. Our property and the rules for using it
11.1 Ours. We and our licensors own the Service, including the software, designs, Mike, AI prompts and workflows, templates, documentation, and trademarks. Except for the rights these Terms give you, we keep all rights.
11.2 Your right to use it. While your subscription is active, and subject to these Terms, you may use the Service, and let your Users use it, for your internal business operations. This right is limited, non-exclusive, and non-transferable.
11.3 Restrictions. You won't, and won't let anyone else:
- copy, resell, rent, or sublicense the Service, or offer it as a service bureau
- reverse engineer, decompile, or try to get the source code, except where the law allows it despite this limit
- get around usage limits, security, or plan restrictions, or share logins to avoid plan limits
- scrape the Service or access it by automated means, except through our published API within its limits
- use the Service to build a competing product, or benchmark it for publication without our written OK
- break the Acceptable Use Policy
11.4 API. If you use our API or webhooks:
- keep keys secret
- follow our rate limits and documentation
- you are responsible for what your code does with data
We may change or limit the API with reasonable notice.
11.5 Copyright. Don't upload or publish material you don't have the right to use. We respond to copyright notices under our Copyright Policy (DMCA), and we may remove material and end the accounts of repeat infringers.
12. Indemnity
12.1 What we cover. We will defend you against any third-party claim alleging that the Service, as we provide it, infringes that party's US patent, copyright, or trademark, or misappropriates its trade secret. We will pay the damages and costs finally awarded against you, or agreed in a settlement we approve.
- When a claim is made or likely, we may, at our choice:
- get you the right to keep using the Service
- change it so it doesn't infringe
- end the affected part and refund prepaid fees for the unused period
- We don't cover claims caused by:
- Your Data or Third-Party Services
- your changes or combinations with things we didn't provide
- your breach of these Terms
- AI output you chose to use, beyond the Service itself
- This Section 12.1 is your only remedy for infringement claims.
12.2 What you cover. You will defend Right Hand and its owners, officers, employees, and contractors against any third-party claim, including a claim or investigation by a government agency or carrier. You will pay the damages, fines, penalties, and reasonable attorneys' fees resulting from the claim. This applies to claims arising from:
- Your Data, or your collection and use of it
- your calls, recordings, texts, and emails, and any lack of required notice or consent (TCPA, state texting and telemarketing laws, wiretap and recording laws, CAN-SPAM)
- your monitoring or tracking of employees, and your employment practices and paperwork
- your services to Your Clients, including injuries, property damage, workmanship, pricing, and contracts
- your payments, refunds, chargebacks, and taxes
- Third-Party Services you connect
- your breach of these Terms, the Acceptable Use Policy, or the law
12.3 How it works. The party seeking defense must:
- tell the other promptly (a delay only matters if it hurts the defense)
- let the other control the defense and settlement
- cooperate, at the defending party's cost
No settlement may admit fault for, or put a duty on, the protected party without its consent.
13. Disclaimers and limits on liability
13.1 Disclaimer. EXCEPT AS THESE TERMS EXPRESSLY SAY, THE SERVICE, AI FEATURES, AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THESE INCLUDE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT PROMISE THAT:
- THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE
- ANY CALL WILL BE ANSWERED OR ANY MESSAGE DELIVERED (CARRIERS AND THIRD PARTIES CAN BLOCK OR DELAY THEM)
- AI OUTPUT WILL BE CORRECT
- THE SERVICE WILL MEET ANY LEGAL REQUIREMENT THAT APPLIES TO YOUR BUSINESS
The Service does not support emergency calls. Mike is not a 911 or emergency service. Tell callers with an emergency to hang up and dial 911.
13.2 No indirect damages. TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE FOR ANY OF THE FOLLOWING, EVEN IF TOLD THEY WERE POSSIBLE:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
- LOST PROFITS, REVENUE, JOBS, OR GOODWILL
- LOST OR CORRUPTED DATA (EXCEPT OUR DUTY TO RESTORE FROM OUR BACKUPS WHERE WE CAN)
- MISSED CALLS OR LEADS
- BUSINESS INTERRUPTION
13.3 Cap. TO THE FULLEST EXTENT THE LAW ALLOWS, EACH PARTY'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID TO RIGHT HAND FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE LIABILITY. IF YOU PAID NOTHING (FOR EXAMPLE, DURING A FREE TRIAL), THE CAP IS $100. THIS CAP APPLIES TO ALL CLAIMS TOGETHER, NOT EACH CLAIM.
13.4 Exceptions. The limits in 13.2 and 13.3 do not apply to:
- your duty to pay fees
- your obligations under Section 6 and Section 12.2
- your breach of Section 11.3 or the Acceptable Use Policy
- either party's fraud, gross negligence, or willful misconduct
- liability that cannot be limited by law
13.5 Why these limits matter. Our prices reflect these allocations of risk. They apply even if a remedy fails of its essential purpose. Some places don't allow certain limits, so some may not apply to you.
14. Suspension
We may suspend all or part of the Service, or a User's access, if we reasonably believe that:
- you are 14+ days late paying after notice
- you or your Users are breaking the Acceptable Use Policy, Section 6, or the law
- your use threatens the security, stability, or reputation of the Service or our phone and texting registrations
- a carrier, Stripe, Twilio, Google, Apple, Intuit, or a government authority requires it
Where we can, we will give notice first, and a chance to fix the problem. We will limit the suspension to what's needed and restore access promptly once it's fixed. Fees continue during a suspension caused by you. Phone numbers may be released if a suspension for cause lasts more than 30 days.
15. Term, termination, and your data afterward
15.1 Term. These Terms start when you first accept them. They continue while you have a trial or subscription, and through the export window after that.
15.2 Termination by you. Cancel anytime from the Billing page (Section 4.5).
15.3 Termination by us. We may end your subscription:
- for convenience, with 30 days' notice and a prorated refund of prepaid fees
- immediately on notice, if you materially breach these Terms and don't fix it within 10 days of notice
- immediately, if the breach can't be fixed or involves fraud, illegal activity, or a serious violation of Section 6 or the Acceptable Use Policy
15.4 Your data after cancellation.
- Export window: for 30 days after your subscription ends, your account stays available in read-only mode so the owner can export Your Data. Exports cover clients, jobs, quotes, invoices, payments, time records, documents, photos, recordings, and transcripts, in standard formats such as CSV, PDF, and original media files. You can also ask support for help with an export during this time.
- Deletion: after the export window, we delete Your Data from the live Service within 60 days. Copies in backups expire on our normal backup cycle, within 35 days after that.
- What we may keep: we may keep limited records as the law requires or to resolve disputes, such as billing records, consent and opt-out records, and records of your acceptance of these Terms. While we keep them, we protect them under these Terms.
- Earlier deletion: you can ask us in writing to delete earlier, once you have your export.
- Phone numbers: numbers we provided may be released 30 days after cancellation unless you have ported them away first. Ask support how to port your numbers.
- Termination for cause: if we end your subscription for cause, we may shorten the export window, but we will still give you a reasonable chance to export unless the law forbids it.
15.5 What survives. These sections continue after the end:
- 4 (fees owed)
- 5.3, 5.5, 6, 7.2, 7.5A, 8.4, 8.5
- 11, 12, 13
- 15.4
- 16 and 17
16. Disputes: arbitration and class action waiver
Please read this section carefully. It affects how disputes are resolved and waives your right to a jury and to class actions.
16.1 Talk to us first. Before filing any claim, the party with the complaint will send a written notice describing it and the relief wanted. For a notice to us, send it to ADDRESS and legal@righthandcrm.com. Both sides will try in good faith to resolve it for 60 days.
16.2 Binding arbitration. If it isn't resolved, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration. That includes disputes about whether this section applies. The arbitration is administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. These rules apply:
- Arbitrator: one arbitrator.
- Where: the arbitration will take place in Miami-Dade County, Florida, or by video if both agree.
- Final: the arbitrator's award is final, and any court with jurisdiction may enter judgment on it.
- Law: the Federal Arbitration Act governs this section.
16.3 Exceptions. Either party may:
- bring an individual claim in small-claims court if it qualifies
- go to court to stop infringement or misuse of intellectual property, or unauthorized access to the Service
16.4 Class action and jury waiver.
- Claims may be brought only individually, not as a plaintiff or class member in any class, collective, consolidated, or representative action.
- The arbitrator may not combine claims of more than one customer or award relief to anyone other than the individual party.
- Each party waives any right to a jury trial.
- If this class waiver is found unenforceable for a claim, that claim (and only that claim) goes to court under Section 17.
16.5 30-day opt-out. You may opt out of this Section 16 by sending written notice within 30 days after you first accept these Terms. Send it to legal@righthandcrm.com and ADDRESS from your account's owner email. Include:
- your company name
- the account owner's name and email
- a clear statement that you opt out of arbitration
Opting out doesn't affect any other part of these Terms.
16.6 Changes to this section. If we make a material change to this Section 16, you may reject it by notice to legal@righthandcrm.com within 30 days of the change. If you do, the earlier version keeps applying to you.
16.7 Time limit. To the extent the law allows, any claim must be brought within one year after it arises, or it is permanently barred.
17. General terms
17.1 Governing law and venue. Florida law governs these Terms, without regard to conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply. Subject to Section 16, the state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction, and both parties consent to them.
17.2 Changes to these Terms. We may update these Terms.
- Material changes: we will give at least 30 days' notice by email to the account owner and in the dashboard. The owner will be asked to accept the new version on sign-in. If you don't agree, you may cancel before it takes effect. For yearly plans, if you cancel for that reason, we will refund the unused part of your year.
- Other changes: changes that are not material, like clarifications, new features, or legal requirements, take effect when posted.
- Version history: each version shows its version number and effective date, and we keep past versions available on request.
17.3 Assignment.
- You may not assign these Terms without our written consent, except to a successor of your whole business that agrees in writing to these Terms.
- We may assign these Terms, in whole or in part, without your consent, to an affiliate or to a successor in a merger, reorganization, or sale of all or part of our business or of the Right Hand product line. That includes a new company we form to run Right Hand. We will notify you of the assignment.
- Any other attempted assignment is void.
17.4 Notices. We may send notices by email to the account owner's email, through the dashboard, or by mail. Email notices count as given when sent. You may send legal notices to ADDRESS with a copy to legal@righthandcrm.com. Routine requests go to support@righthandcrm.com.
17.5 Electronic communications. You agree that notices, agreements, and records from us may be electronic and that electronic signatures and click-through acceptance are binding.
17.6 Communications to you. We may contact you and your Users by email and in the app about your account, billing, security, and the Service. We may also send texts to account owners and admins for account and security purposes. You can opt out of any marketing at any time. Our text-message terms for our own messages are in the Messaging and Calls Terms.
17.7 Force majeure. Neither party is liable for delays caused by events beyond its reasonable control. Payment duties are not excused. Examples of such events:
- outages of carriers, cloud hosts, or AI providers
- internet failures
- natural disasters, war, or terrorism
- labor actions, government action, or cyberattacks despite reasonable safeguards
17.8 Independent parties. We are independent contractors. Nothing here makes us partners, employers, agents, or joint venturers. Mike speaks for your business on your instructions. We are not a party to your contracts with Your Clients.
17.9 Export and sanctions. You won't use the Service in violation of US export or sanctions laws. You won't let anyone on a US restricted list use it. The Service is offered only to businesses in the United States.
17.10 Government users. The Service is commercial computer software.
17.11 Publicity. We won't use your name or logo publicly without your permission.
17.12 The whole agreement. These Terms (with the documents in Section 1) are the whole agreement about the Service. They replace prior discussions. Purchase-order terms you send don't apply. If any part is unenforceable, it will be changed only as much as needed and the rest stays in effect. Not enforcing a right is not a waiver. Headings and the plain-English summary are for convenience only and don't change meaning. "Including" means "including without limitation."
17.13 Apple App Store terms. These terms apply if you or your Users get the Right Hand iPhone app ("App") from Apple's App Store. They are part of these Terms and are required by Apple.
- Between you and us. These Terms are between you and Revive Flow LLC, not Apple Inc. ("Apple"). We, not Apple, are solely responsible for the App and its content.
- License. Your right to use the App is limited to a non-transferable right to use it on Apple-branded products that you own or control, as allowed by the Usage Rules in Apple's Media Services Terms and Conditions, except that the App may be used by other accounts associated with you through Family Sharing or volume purchasing.
- Support. We alone are responsible for maintenance and support of the App, as described on our Support page. Apple has no duty to provide any maintenance or support for the App.
- Warranty. To the extent any warranty applies to the App and the App fails to conform to it, you may notify Apple, and Apple will refund the purchase price of the App, if any. To the fullest extent the law allows, Apple has no other warranty obligation for the App. Any other claims, losses, liabilities, damages, costs, or expenses from a failure to conform to a warranty are our responsibility, to the extent these Terms don't disclaim them.
- Product claims. We, not Apple, are responsible for addressing any claims by you or a third party about the App or your possession and use of it. These include product liability claims, claims that the App fails to meet a legal or regulatory requirement, and claims under consumer protection, privacy, or similar laws.
- Intellectual property claims. If a third party claims the App or your possession and use of it infringes their intellectual property rights, we, not Apple, are solely responsible for investigating, defending, settling, and discharging the claim, to the extent these Terms require.
- Legal compliance. You confirm that you are not located in a country subject to a US government embargo or designated by the US government as a "terrorist supporting" country, and that you are not on any US government list of prohibited or restricted parties.
- Contact. Questions, complaints, or claims about the App go to Revive Flow LLC, doing business as Right Hand, ADDRESS, support@righthandcrm.com.
- Third-party terms. You must follow any third-party agreements that apply when you use the App, such as your mobile carrier's terms.
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms, and once you accept them, Apple may enforce them against you as a third-party beneficiary.
- In-app account deletion. You can start deleting a User account in the App (Settings → Account → Delete account), as Apple requires. Deleting the owner account deletes the company's data on the schedule in Section 15.4.
17.14 Intuit and Google. When you connect QuickBooks or sign in with Intuit, Intuit's terms also apply to that connection, and these Terms serve as our end-user license agreement for the Intuit integration. Our handling of data from Google APIs follows the Google API Services User Data Policy, including its Limited Use requirements, as described in the Privacy Policy, Section 9.
